Position Summary
We are seeking a detail-oriented, contract-savvy Corporate Paralegal for a 90-day contract project focused on contract management and data integrity.
In this role, you will lead the effort to digitize, organize, and structure our existing repository of vendor and commercial agreements within Ironclad. You will review physical and digital contracts, build parent-child contract "families," and accurately extract critical metadata—such as expiration dates, renewal terms, and governing T&Cs—into our Contract Lifecycle Management (CLM) system.

Key Responsibilities

Contract Organization & Hierarchy: Audit, group, and link related agreements (master service agreements, amendments, statements of work, addendums) into proper "parent-child" contract families within Ironclad.

Data Extraction & System Input: Carefully read and analyze vendor contracts to identify and input accurate metadata, including:

Effective, expiration, and notice/renewal dates

Key legal and commercial Terms & Conditions (T&Cs)

Payment/milestone triggers and notice period requirements

Digitization & Intake: Process legacy paper contracts—scanning, uploading, and organizing physical files into the digital Ironclad platform.

Data Quality Assurance: Audit existing contract entries for completeness, accuracy, and proper tagging to ensure clean reporting for legal and business teams.

Cross-Functional Collaboration: Partner with the internal legal and procurement teams to clarify ambiguous contract terms or missing documentation as needed.
Qualifications & Skills

Experience: 2–5+ years of experience as a Corporate Paralegal, Legal Operations Specialist, or Contract Administrator.

System Knowledge: Hands-on experience with Ironclad (or a similar CLM tool like Agiloft, Conga, or DocuSign CLM) is strongly preferred.

Contract Literacy: Demonstrated ability to read, interpret, and analyze complex legal language—specifically vendor, procurement, and supplier agreements.

High Attention to Detail: Exceptional precision when extracting critical dates, clauses, and financial/legal terms.

Self-Motivated: Ability to work independently, manage time efficiently, and drive a high-volume data/intake project to completion within a strict 90-day window.
